Intellectual Property
Unless otherwise explicitly agreed upon in a separate service agreement, all intellectual property rights for custom-developed software, code, designs, and content created by Nexus Web Solutions Ltd for a client shall transfer to the client upon full and final payment for the respective services. Payment Terms
Payment terms and schedules will be outlined in separate project proposals or service agreements. Failure to adhere to payment schedules may result in the suspension of services or project delays. All quoted prices are exclusive of applicable taxes, which will be added as required by law.

Both parties agree to keep all non-public information, including project details, business strategies, and technical specifications, confidential. This obligation of confidentiality shall survive the termination of any service agreement.
Limitation of Liability
Nexus Web Solutions Ltd will perform its services with reasonable care and skill. However, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services.
Termination
Either party may terminate a service agreement under terms specified within that agreement or if the other party breaches these Terms and fails to remedy the breach within a reasonable timeframe. Upon termination, any outstanding payments for services rendered will become immediately due.
Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall be referred to and finally resolved by the courts of England and Wales.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
